These Terms & Conditions ("Terms") govern access to and use of the Sports Agent X platform, website, mobile application and related services (the "Platform").

By accessing or using the Platform, you agree to these Terms.

1. ABOUT SPORTS AGENT X

Sports Agent X Ltd ("Sports Agent X", "we", "us", "our") operates a technology platform designed to help professional athletes:

  • manage operational workflows;
  • present commercial opportunities;
  • access sponsorship and affiliate opportunities; and
  • build public sponsor-facing profiles.

Sports Agent X operates primarily as:

  • a software platform;
  • athlete infrastructure provider;
  • commercial marketplace platform; and
  • sponsorship enablement system.

Unless separately agreed in writing, Sports Agent X does not generally act as:

  • an employer;
  • legal representative;
  • financial advisor; or
  • authorised contracting agent.

2. PLATFORM FEATURES

The Platform may include:

  • athlete profiles;
  • sponsor-facing pages;
  • QR-linked public profiles;
  • sponsorship and affiliate opportunities;
  • scheduling and operational tools;
  • AI-assisted features;
  • analytics; and
  • marketplace infrastructure.

Features may evolve, change or be removed during the beta phase.

3. USER ACCOUNTS

Users must:

  • be at least 18 years of age;
  • provide accurate information;
  • maintain account security; and
  • comply with applicable laws and regulations.

Sports Agent X may suspend or terminate accounts where:

  • false information is provided;
  • these Terms are breached;
  • fraud or misuse is suspected; or
  • continued participation may harm the Platform or other users.

4. ATHLETE PROFILES AND PUBLIC CONTENT

The Platform may enable athletes to create:

  • public athlete profiles;
  • sponsor-facing pages;
  • QR-linked profiles;
  • commercial decks; and
  • related marketplace content.

Users acknowledge that:

  • profile content may be publicly accessible;
  • sponsors and commercial partners may view public information;
  • public pages may be shared via QR codes and hosted links; and
  • public content may appear in search engines or sponsor discovery tools.

Users remain responsible for ensuring that uploaded content is:

  • accurate;
  • lawful;
  • non-misleading; and
  • properly authorised.

5. SPONSORSHIPS AND MARKETPLACE SERVICES

Sports Agent X may facilitate:

  • sponsorship discovery;
  • affiliate opportunities;
  • sponsor enquiries;
  • athlete-brand communications; and
  • commercial marketplace participation.

Unless separately agreed in writing:

  • sponsorship agreements are entered into directly between the athlete and sponsor;
  • Sports Agent X is not generally a contracting party to sponsorship agreements; and
  • Sports Agent X does not guarantee sponsorship outcomes or payments.

6. COMMISSIONS AND ATTRIBUTION

Certain sponsorships or commercial opportunities connected to the Platform may be subject to:

  • commissions;
  • attribution fees; or
  • commercial participation fees.

Commission and attribution terms for athletes are set out in the Sports Agent X Athlete User Agreement, which athletes accept during onboarding, and may be supplemented by commercial schedules or onboarding materials.

Users agree not to intentionally circumvent the Platform in order to avoid applicable commissions or attribution fees connected to Platform-related opportunities.

7. AI TOOLS

The Platform may include AI-powered functionality.

AI-generated outputs:

  • are informational only;
  • may be incomplete or inaccurate; and
  • should not be solely relied upon.

Sports Agent X does not guarantee the accuracy or completeness of AI-generated information.

8. THIRD-PARTY SERVICES

The Platform may integrate with third-party providers including:

  • Stripe;
  • Tapfiliate; and
  • related service providers.

Third-party providers may impose separate terms and conditions.

Sports Agent X is not responsible for third-party systems, payment failures or external platform outages.

9. PAYMENTS

Payments and payouts are processed by Stripe. To receive payouts, you must create and maintain a Stripe Connect account and agree to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service.

Sports Agent X is not a bank or payment institution and does not hold user funds; payment processing services are provided by Stripe.

You must provide accurate and complete information to Stripe and keep it up to date. Sports Agent X is not responsible for delays, holds or failures in payment processing caused by Stripe or by inaccurate information provided to Stripe.

10. INTELLECTUAL PROPERTY

All Platform software, infrastructure, branding, systems, workflows and related intellectual property remain the property of Sports Agent X or its licensors.

Users may not:

  • copy;
  • reverse engineer;
  • distribute; or
  • commercially exploit

Platform technology without written consent.

11. LIMITATION OF LIABILITY

Subject to the paragraphs below, and to the maximum extent permitted by law, Sports Agent X shall not be liable for:

  • loss of sponsorships;
  • loss of earnings;
  • reputational damage;
  • indirect or consequential losses;
  • third-party conduct; or
  • marketplace outcomes.

The Platform is provided on an "as is" and "as available" basis.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the law of England and Wales.

If you use the Platform as a consumer, nothing in these Terms affects your statutory rights.

12. GOVERNING LAW

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over disputes arising from these Terms.
